Duties & Composition

Duties

The Board of Directors shall have supervision, control and direction of the affairs of the Association within the limits of and consistent with the beliefs, policies and resolutions promulgated by the Delegate Assembly and the Constitution and Bylaws. The Board of Directors shall actively promote the purposes of the Association; shall set all dues, assessments, and charges; shall adopt the Association’s budget; and shall have discretion in the disbursement of the Association’s funds.

Composition

The Board of Directors shall be composed of the four elected officers; the Immediate Past President; Guild Council Chairman; and eight Directors. The eight elected Directors shall be composed of two Firm Members; two Honored Fellows representing Individual Membership; two Members from State Society Membership; and two At-Large Members, who also must be a Firm, Corporate or Honored Fellow Member and a have been a voting member of the Association for a minimum of one year.

President

It shall be the duty of the President to preside at all meetings of the Association and to perform all duties incident to the Office of President and such other duties as may be prescribed from time to time by the Board of Directors.

First Vice President

It shall be the duty of the First Vice President to perform the duties of the President in his/her absence or in the event of his/her inability or refusal to act. The First Vice President, when thus acting, shall have the powers of and be subject to all restrictions placed upon the President. The First Vice President shall perform such other duties as from time to time may be assigned to him by the President or the Board of Directors.

Second Vice President

The Second Vice President shall perform such duties as may be assigned from time to time by the President or Board of Directors.

Secretary/Treasurer

Shall have charge and custody of, and be responsible for all funds and securities and financial records of the Association; shall keep the minutes of the meetings of the Association and the Board of Directors; shall see that all notices are given in accordance with the provisions of the Constitution and Bylaws or as required by law; shall be custodian of the corporate records and of the seal of the Association; and, in general, shall perform all duties incident to the Office of Secretary/Treasurer and such other duties as from time to time may be assigned to him/her by the President or the Board of Directors.

Criteria, Terms & Nominations

President

One Voting Seat

The President seat is open for nomination by the general membership and is elected at the OAA Delegate Assembly Meeting. Term of office for President is one year, initiating at the annual OAA Delegate Assembly Meeting and continuing through the OAA Delegate Assembly Meeting the following year. A President may, if elected, sit two consecutive terms. To qualify for the position on the Board of Directors, the individual must be an Honored Fellow voting member of OAA for a minimum of one year and in good standing of the Opticians Association of America. The President is expected to attend the Delegate Assembly and is responsible for his/her own expenses to that meeting.

First Vice President

One Voting Seat

The First Vice President seat is open for nomination by the general membership and is elected at the OAA Delegate Assembly Meeting. Term of office for First Vice President is one year, initiating at the annual OAA Delegate Assembly Meeting and continuing through the OAA Delegate Assembly Meeting the following year. A First Vice President may, if elected, sit two consecutive terms. To qualify for the position on the Board of Directors, the individual must be an Honored Fellow voting member of OAA for a minimum of one year and in good standing of the Opticians Association of America. The First Vice President is expected to attend the Delegate Assembly and is responsible for his/her own expenses to that meeting.

Second Vice President

The Second Vice President seat is open for nomination by the general membership and is elected at the OAA Delegate Assembly Meeting. Term of office for Second Vice President is one year, initiating at the annual OAA Delegate Assembly Meeting and continuing through the OAA Delegate Assembly Meeting the following year. A Second Vice President may, if elected, sit two consecutive terms. To qualify for the position on the Board of Directors, the individual must be an Honored Fellow voting member of OAA for a minimum of one year and in good standing of the Opticians Association of America. The Second Vice President is expected to attend the Delegate Assembly and is responsible for his/her own expenses to that meeting.

Secretary/Treasurer

One Voting Seat

The Secretary/Treasurer seat is open for nomination by the general membership and is elected at the OAA Delegate Assembly Meeting. Term of office for Secretary/Treasurer is one year, initiating at the annual OAA Delegate Assembly Meeting and continuing through the OAA Delegate Assembly Meeting the following year. A Secretary/Treasurer may, if elected, sit consecutive terms. To qualify for the position on the Board of Directors, the individual must be an Honored Fellow voting member of OAA for a minimum of one year and in good standing of the Opticians Association of America. The Secretary/Treasurer is expected to attend the Delegate Assembly and is responsible for his/her own expenses to that meeting.

Firm Membership Representative

Two Voting Seats

Each of two Firm Member Representative seats is open for nomination only by OGA/Guild membership and is elected at the OAA Delegate Assembly Meeting. Term of office for each Firm Member Representative is two years, initiating at the annual OAA Delegate Assembly Meeting and continuing through the OAA Delegate Assembly Meeting two years hence. A Firm Member Representative may, if elected, sit two consecutive terms. To qualify for the position on the Board of Directors, the individual must be a Guild member of OAA/OGA for a minimum of one year and in good standing of the Opticians Association of America. Each Firm Member Representative is expected to attend the Delegate Assembly and is responsible for his/her own expenses to that meeting.

Individual Membership Representative

Two Voting Seats

Each of two Individual Member Representative seats is open for nomination by the general membership and is elected at the OAA Delegate Assembly Meeting. Term of office for each Individual Member Representative is two years, initiating at the annual OAA Delegate Assembly Meeting and continuing through the OAA Delegate Assembly Meeting two years hence. An Individual Member Representative may, if elected, sit two consecutive terms. To qualify for the position on the Board of Directors, the individual must be an Honored Fellow voting member of the OAA for a minimum of one year and in good standing of the Opticians Association of America. Each Individual Member Representative is expected to attend the Delegate Assembly and is responsible for his/her own expenses to that meeting.

At-Large Membership Representative

Two Voting Seats

Each of two At-Large Member Representative seats is open for nomination by the general membership and is elected at the OAA Delegate Assembly Meeting. Term of office for each At-Large Member Representative is two years, initiating at the annual OAA Delegate Assembly Meeting and continuing through the OAA Delegate Assembly Meeting two years hence. An At-Large Member Representative may, if elected, sit two consecutive terms. To qualify for the position on the Board of Directors, the individual must be a Guild, Firm, Corporate or Honored Fellow voting member of the OAA for a minimum of one year and in good standing of the Opticians Association of America. Each Individual Member Representative is expected to attend the Delegate Assembly and is responsible for his/her own expenses to that meeting.

State Membership Representative

Two Voting Seats

Each of two State Member Representative seats is open for nomination by the general membership and is elected at the OAA Delegate Assembly Meeting. Term of office for each State Member Representative is two years, initiating at the annual OAA Delegate Assembly Meeting and continuing through the OAA Delegate Assembly Meeting two years hence. A State Member Representative may, if elected, sit two consecutive terms. To qualify for the position on the Board of Directors, the individual must be a Guild, Firm, Corporate or Honored Fellow voting member of the OAA for a minimum of one year and in good standing of the Opticians Association of America. Each State Member Representative is expected to attend the Delegate Assembly and is responsible for his/her own expenses to that meeting.
